Company law reform in the EU and electronic media

In this paper the authors analyze justified reasons for company law reform and the improvement of corporate management in the EU.According the authors standpoint the realization of particular phase of the reform is going to strengthen shareholders' rights and their protection, bring to the increase of shreholders trust and the integration of European market of capital.The proposal of EU directiveon the realization of shareholders' voting rights and the use of electronic means in the work of the joint stock companies bodies.As the authors point out, the introduction of electronic means into company dealings i.e. general meeting, was inevitable.In their analysis the authors have explained the reasons for the introduction of electronic means into assembling and holding shareholders general meeting.They have laid a special stress on admissibility of shareholders voting in absence and the use of electronic means, which will, as they conclude, affect the increase of investments cross-border.The authors draw a conclusion that they reform and harmonization company law in the EU are necessary for creation of modern, dynamic and internationally connected industrial society.
